Can a Blog Entry by a CEO Satisfy Reg FD?
(October 6th, 2006 under Announcements)
The Chief Executive Officer of Sun Microsystems Inc. has sought a ruling from the SEC that information he "publishes" in his personal blog as well as certain e-mails and webcasts satisfy Reg FD. Regulation Fair Disclosure which is put out by the SEC requires formal publicly traded companies to formally publish information which is "material" to the company and which presumably could affect stock prices or the trading of company stock. Historically, companies have satisfied Reg FD by issuance of press releases and making formal filings with the SEC. However should this request be granted, investors will need to follow not just press releases and corporate filings made with the SEC but also personal blogs of the company CEO!
